1. DEFINITIONS
"Company" means Ryan Bailey Consulting Ltd
"Client" means the person or entity purchasing consulting services
"Services" means all consulting, strategy, and advisory services provided
"Session" means any scheduled consulting appointment
"Materials" means any documents, frameworks, or resources provided
2. SERVICE PROVISION
2.1 The Company provides business consulting and strategic advisory services to founders and business owners.
2.2 All services are provided remotely via video conferencing unless otherwise agreed in writing.
2.3 Session duration is typically 60-90 minutes as specified at booking.
2.4 The Company reserves the right to reschedule sessions with 24 hours' notice.
3. PAYMENT TERMS
3.1 Payment is required in full prior to service delivery unless otherwise agreed in writing.
3.2 Prices are stated in GBP (£) and include VAT where applicable.
3.3 Late payment may result in suspension of services and interest charges of 2% per month.
3.4 All payment processing fees are non-refundable.
4. CANCELLATION AND REFUNDS
4.1 Client Cancellation:
- More than 48 hours: Full refund
- 24-48 hours: 50% refund
- Less than 24 hours: No refund
4.2 Company Cancellation: Full refund will be provided.
4.3 Refunds will be processed within 14 working days to the original payment method.
5. INTELLECTUAL PROPERTY
5.1 The Company retains ownership of all methodologies, frameworks, and proprietary materials.
5.2 Clients may use provided materials for their own business purposes but may not redistribute, sell, or share with third parties.
5.3 The SPARK Framework and all related materials remain the intellectual property of the Company.
6. CONFIDENTIALITY
6.1 The Company agrees to keep all client business information confidential.
6.2 Clients agree the Company may use anonymized case studies and general business scenarios for marketing purposes.
6.3 No personally identifiable information will be shared without explicit written consent.
7. LIABILITY AND DISCLAIMERS
7.1 Business Advice Disclaimer: All advice is provided for informational purposes. The Company does not guarantee specific business results or revenue outcomes.
7.2 Limitation of Liability: The Company's total liability is limited to the fees paid for the specific service in question.
7.3 Professional Indemnity: The Company maintains professional indemnity insurance appropriate to the services provided.
7.4 Client Responsibility: Clients are responsible for implementing advice and making their own business decisions.
8. DATA PROTECTION
8.1 The Company processes personal data in accordance with UK GDPR and Data Protection Act 2018.
8.2 Client data is stored securely and used only for service delivery and legitimate business purposes.
8.3 Clients have the right to request, modify, or delete their personal data at any time.
8.4 Session recordings (if any) are stored for 30 days unless otherwise requested.
9. FORCE MAJEURE
9.1 Neither party shall be liable for failure to perform due to circumstances beyond reasonable control.
9.2 This includes but is not limited to technical failures, internet outages, or other unforeseen circumstances.
10. GOVERNING LAW
10.1 These terms are governed by English and Welsh law.
10.2 Any disputes will be subject to the exclusive jurisdiction of English courts.
10.3 For International Clients: Services are provided from the UK and subject to UK law regardless of client location.
11. GENERAL PROVISIONS
11.1 These terms constitute the entire agreement between parties.
11.2 Any modifications must be agreed in writing.
11.3 If any provision is deemed unenforceable, the remainder shall remain in effect.
11.4 The Company reserves the right to update these terms with 30 days' notice.
12. SPECIFIC DISCLAIMERS
12.1 No Financial Advice: The Company does not provide regulated financial advice. All recommendations are strategic and operational in nature.
12.2 Results Not Guaranteed: Past client results do not guarantee future performance. Business success depends on multiple factors beyond consulting advice.
12.3 Implementation Risk: Clients implement advice at their own risk and discretion.
13. ACCEPTANCE
By booking and paying for services, clients acknowledge they have read, understood, and agree to be bound by these terms and conditions.
